Terms of Service

Introduction

These Terms of Service (“Terms” or “Agreement”) govern your access to and use of Nodogoro LLC, doing business as Hire.inc (“Hire.inc,” “we,” “us,” or “our”). By accessing or using our platform, products, software, websites, and professional services (collectively, the “Services”), you agree to be bound by these Terms. If you are using the Services on behalf of an entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use the Services.

1. Scope of Services

1.1 Services Overview

Hire.inc provides an applicant tracking system (ATS) and embedded recruitment solutions, along with meeting recording and transcription services. Our Services help organizations streamline their recruitment processes, manage candidate information, and convert recorded meetings into searchable, shareable notes.

1.2 Service Access and License

Subject to these Terms, we grant you a non-exclusive, non-sublicensable, non-transferable license to access and use the Services solely for your internal business purposes during the Term (defined in Section 3.1).

1.3 Modifications to Services

We are continuously improving our Services and may add or remove functionality or features at any time without prior notice. We may also suspend or terminate parts of the Services altogether.

1.4 Facilities and Data Transfer

All facilities used to store and process your data will adhere to reasonable security standards. As part of providing the Services, we may transfer, store, and process your data in the United States. By using the Services, you consent to this transfer, processing, and storage.

1.5 Third-Party Services

Our Services may allow you to connect to third-party services, such as job boards, calendar integrations (Google Calendar, Microsoft Teams), and communication platforms (Slack). You acknowledge that third-party services are not under our control, and we are not responsible for their actions or omissions.

2. Data Usage and Privacy

2.1 Data Collection and Usage

We collect, use, and share your personal information as described in our Privacy Policy, which can be found at www.hire.inc/privacy-policy. By using the Services, you consent to our collection, use, and sharing of personal information as described in the Privacy Policy.

2.2 Data Security

We implement reasonable security measures to protect your data. However, you acknowledge that no security measure is completely foolproof, and we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials.

2.3 AI and Machine Learning

We reserve the right to use the data we collect to train and improve our AI systems and machine learning models. This usage is aimed at enhancing the performance and capabilities of our Services.

3. Accounts and Registration

3.1 Account Creation

To access most features of the Services, you must register for an account. When you register for an account, you may be required to provide us with some information about yourself, such as your name, email address, phone number, or other contact information. You agree that the information you provide to us is accurate and that you will keep it accurate and up-to-date at all times.

3.2 Account Security

When you register, you will be asked to provide a password. You are responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account. If you believe that your account is no longer secure, you must immediately notify us at team@hire.inc.

4. User Content

4.1 User Content

You may upload content to the Services, including job listings, candidate information, and meeting recordings (“User Content”). You retain ownership of your User Content, but you grant us a non-exclusive, royalty-free license to use, process, and display your User Content solely for providing the Services.

4.2 Responsibility for User Content

You are solely responsible for your User Content and for ensuring that you have all necessary rights to provide and use the User Content in connection with the Services. We are not responsible for any User Content, and we reserve the right to remove any User Content that violates these Terms.

5. Payment of Fees

5.1 Payment

Certain features of the Services may require you to pay fees. You agree to pay all applicable fees in accordance with the terms set forth in the relevant order form or pricing page on our website. All fees are non-refundable.

5.2 Late Payment

If you fail to make any payments when due, we may suspend or terminate your access to the Services until payment is received. Unpaid fees are subject to a finance charge of 1.5% per month on the outstanding balance or the maximum permitted by law, whichever is lower.

6. Prohibited Use

6.1 Prohibited Activities

You agree not to engage in any of the following activities on the Services:

• Frame, mirror, or otherwise incorporate the Services or any part thereof on any commercial or non-commercial website.

• Access, monitor, or copy any part of the Services using any robot, spider, scraper, or other automated means or any manual process.

• Violate the restrictions in any robot exclusion headers on the Services or bypass or circumvent other measures employed to prevent or limit access to the Services.

• Take any action that imposes, or may impose, an unreasonable or disproportionately large load on the Services.

• Deep-link to any portion of the Services for any purpose.

• Remove any watermarks, labels, or other legal or proprietary notices within the Services.

• Modify or attempt to modify the Services, including any modification for the purpose of disguising or changing any indications of the ownership or source of the Services.

• Use the Services as part of any service for sharing, lending, or multi-person use.

• Attempt to, assist, authorize, or encourage others to circumvent, disable, or defeat any of the security features or components that protect the Services.

• Copy, reproduce, modify, distribute, transfer, sell, publish, broadcast, perform, transmit, or circulate in any form any part of the Services.

• Create adaptations, translations, or derivative works based on the Services, in whole or in part, or decompile, disassemble, reverse engineer, or otherwise exploit any part of the Services.

• Use or access the Services in a manner that violates the rights (including intellectual property rights) of any third party.

• Upload to or transmit through the Services any information, images, text, data, media, or other content that is offensive, hateful, obscene, defamatory, or that violates any laws.

• Directly or indirectly solicit, hire, recruit, or attempt to solicit, hire, or recruit any Hire.inc employee or contractor during the term of your agreement with Hire.inc and for a period of one year thereafter.

6.2 Notification of Unauthorized Use

You must promptly notify Hire.inc of any known or suspected unauthorized use of your account or the Services.

7. Suspension and Termination

7.1 Suspension and Termination by Hire.inc

If you violate these Terms or engage in any Prohibited Use, we may temporarily or permanently suspend your access to the Services without notice. We may also terminate your account at any time for any reason, with or without notice.

7.2 Termination by You

You may terminate your account by discontinuing use of the Services and notifying us at team@hire.inc. Terminating your account will immediately remove your ability to access the Services, and we may delete any information contained within your account.

7.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Indemnification

You agree to indemnify and hold Hire.inc, its affiliates, officers, agents, and employees harmless from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Services, your User Content, or your violation of these Terms.

9. Limitation of Liability

To the fullest extent permitted by law, Hire.inc will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your use of or inability to use the Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Services; or (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party.

10. Dispute Resolution and Arbitration

10.1 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration. By agreeing to these Terms, you agree to waive your right to a trial by jury and to participate in any class action or representative proceeding.

10.2 Arbitration Process

The arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The place of arbitration will be San Francisco, California. The arbitration will be conducted in English.

11. General Terms

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You and Hire.inc agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

11.2 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Hire.inc concerning the Services.

11.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.

11.4 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
